These Terms of Service (“Terms”) govern your access to and use of droidel.com (the “Site”) and any services offered by Droidel (“we,” “us,” or “our”). By accessing the Site, you agree to be bound by these Terms.

Droidel is a fractional CMO practice specializing in B2B companies at inflection points. We provide strategic marketing advisory services, including but not limited to: marketing diagnostics, go-to-market strategy, brand positioning, and interim CMO engagements.
The Site provides information about these services. It does not constitute legal, financial, or professional advice specific to your circumstances.

All content on this Site, including but not limited to text, frameworks, methodologies, case studies, graphics, and the BrandGen Framework, is the exclusive property of Droidel or its licensors and is protected by applicable intellectual property laws.
No content may be reproduced, modified, or distributed without prior written consent from Droidel. Unauthorized use may constitute infringement and subject you to legal liability.
These Terms govern Site access only. Separate written engagement agreements govern any professional services rendered by Droidel. In the event of any conflict between these Terms and a signed engagement agreement, the engagement agreement prevails.
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DROIDEL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DROIDEL AND ITS PRINCIPAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT.
IN NO EVENT SHALL DROIDEL'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DROIDEL IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) $100.
You agree to indemnify, defend, and hold harmless Droidel and its principal from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Site or violation of these Terms.
The Site may contain links to third-party websites or resources. These links are provided for informational purposes only. Droidel does not endorse, control, or assume responsibility for any third-party content, products, or services. Your use of third-party sites is governed by their respective terms and policies.
Your use of the Site is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand our practices regarding the collection and use of your information.
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
Before initiating any formal legal action, both parties agree to attempt to resolve disputes in good faith through direct negotiation. If negotiation fails within 30 days, disputes shall be resolved through binding arbitration in New York, New York, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last Updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Droidel with respect to your use of the Site.
